Its legal status
Even though the hospital was founded under the Catholic Archdiocese of Gulu, it has its own legal entity independent from the archdiocese.
The hospital is incorporate as a "Company Limited by Guarantee", the usual form of incorporation for Not-for-Profit (NFP) organizations in Uganda, as St. Mary's Hospital Lacor Ltd. The Hospital holds the permission to omit "Ltd" from its current name. The legal regime requires a minimum of two members who are the Archdiocese of Gulu, legally known as "The Registered Trustees of the Gulu Diocese Uganda," and "St. Mary's Lacor Foundation Ltd", an entity set-up by the Archdiocese.
The Hospital is registered with the Uganda government as a NFP. It follows national health policies.
Its governing bodies
General members assembly
The General assembly receives financial statements approved by the Board of Directors, appoints auditors and company directors that form the Hospital's Board of Directors. The membres gather once a year.
The Board of Directors
The bylaws make the Archbishop of Gulu the chair of the board. They stipulate that the board be made up of the Hospital's Executive Director (CEO), his or her four directors and of 7 to 10 independent persons, each with a three-year renewable mandate. The Board thus has from 13 to 16 members. Two of the independent seats are reserved for the Italian Corti Foundation.
The Board has four committees that study certain issues with a view to making recommendations to the Board. The committees are composed exclusively of independent board members. Governance practices are exemplary.
The Internal Management Board
The Hospital is run by an executive director and his four directors: Institutional, Medical, Scientific and Administrator/Corporate Secretary.
